Charles Owusu Juanah, lead counsel for the National Cathedral project, declares that no one can dissolve the National Cathedral’s Board.
The private legal practitioner explains that Ghana’s National Cathedral is legally registered as a company limited by guarantee, not a state entity.
On Rainbow Radio 87.5FM’s Frontline, he explained the Companies Act governs the Board, not public service regulations or Cabinet decisions.
“The National Cathedral’s legal foundation is rooted in law. Former President Akufo-Addo established the National Cathedral in a way that prevents the state from fully controlling it. How do you dissolve the board of a company limited by guarantee? It isn’t like the GNPC Board or any other board the President can dissolve. You first must go to court and provide reasons for the dissolution before the court might grant that request. Therefore, no individual can decide to dissolve the board. The board, however, can come to a conclusion and dissolve itself with stated reasons.”
He shot down claims of financial mismanagement and embezzlement against board members.
Responding to a recent press conference by Government Spokesperson Felix Kwakye Ofosu, he asserted that politicians were unfairly targeting the trustees.
The lawyer stated that the financial mismanagement allegations were false and came from a management letter by the project’s auditors, not the final audit report.
He clarified, “The management letter is only a working document with queries that require answers before the final report. The full report did not accuse the trustees of embezzlement, and we submitted all necessary supporting documents to the auditors later.”
“These allegations are misrepresentations and unintellectual discourse that unfortunately emerged during the elections. Now that the elections and false narratives are over, the truth must prevail. We must deal with facts, not falsehoods. We must change our tone and move forward. The government did its part regarding the Cathedral, and the Board of Trustees must also do their part to ensure the project sees the light of day,” he added.
