The Office of the Registrar of Companies (ORC) has issued a final warning to all registered business owners, corporate directors, and partners across Ghana, asserting that the upcoming June 30, 2026 deadline for filing annual returns will not be extended.
The mandate, detailed in an official press release found in the file 16004.jpg, follows a preliminary notice distributed in late April.
The corporate registry expects all defaulting businesses to regularize their status within the next two weeks or face immediate administrative sanctions.
In the directive signed by the Registrar of Companies, Mrs. Maame Samma Peprah, the registry explicitly stated that “there will be no extension beyond Tuesday, 30th June 2026 deadline for the filing of Annual Returns and the Renewal of Business Names.”
Under the enforcement framework, companies that fail to submit their annual returns alongside their required financial statements will be categorized as non-compliant.
The ORC will levy a flat penalty of GH¢ 2,000 on entities that have defaulted for five years or more. Meanwhile, businesses with outstanding filings spanning between one and four years will face a GH¢ 1,000 fine.
Both penalties will be charged in addition to standard statutory filing fees.
Registry officials are urging the business community to settle their accounts swiftly to safeguard operational continuity and “avoid the risk of being delisted from the official Register.”
The ORC has opened support lines through standard telephone calls, WhatsApp, and Telegram to assist companies with compliance inquiries before the window closes at the end of the month.
