AT and Telecel restructuring is not a merger, but a ‘Force Majeure’ situation – Sam George

The Minister of Communications, Digital Technology, and Innovations, Samuel Nartey George, has clarified that the ongoing restructuring between AT Ghana and Telecel Ghana is not a merger.

According to him, the ongoing process falls under a force majeure situation, not a consolidation or acquisition.

He disclosed this while speaking at a press conference on September 5, 2025.

He stated that, “Let me be very clear and I need to be very on this, because we’ve seen media reportage. This is not a merger, it is also not an acquisition. We are dealing with a force majeure situation and the work of the transaction advisor and the recommendations from their report will lay out a clear path for the consideration of government. For emphasis I repeat, what is happening and playing out is not a merger and neither is it an acquisition.”

He further assured both permanent and contract AT staff of their job security, stressing that no merger or acquisition decisions have been made.

These will only be considered after the transaction advisor submits its report.
Sam George noted that authorities have also taken steps to protect over three million Airtel Ghana Limited (AT) subscribers following the disconnection of AT’s sites by ATC Ghana over unpaid debts.

On September 1, 2025, ATC began disconnecting power to AT’s radio access networks, which risked causing widespread service disruptions.

In response, the National Communications Authority (NCA) directed AT and Telecel to establish national roaming. This allows AT’s traffic to be migrated onto Telecel’s network, ensuring subscribers can continue to use voice, SMS, data, and AT Money services without interruption.

The government has urged subscribers, creditors, and other stakeholders to remain calm and await the advisor’s recommendations.

“Ghana urges all stakeholders including subscribers, Tower companies, suppliers and creditors to await the outcome of the transaction advisors work which will provide clarity on outstanding debt, services and the future of AT Ghana,” he said.
